The terms on which TWS Branding Pte Ltd provides this website, The Course and our members area, and the framework that sits behind our client engagements.
These Terms of Service ("Terms") govern your access to and use of www.twsbranding.com (the "Site"), The Course and the associated members area, and any other service we make available through the Site (together, the "Services").
By accessing the Site, creating an account, or purchasing a subscription, you agree to these Terms. If you do not agree, do not use the Services.
If you are accepting these Terms on behalf of a company or other organisation, you confirm you have authority to bind that organisation, and "you" refers to that organisation.
TWS Branding Pte Ltd ("TWS", "we", "us", "our") is a company incorporated in Singapore, with a correspondence address at 16 Shaw Road, Kin Building, #03-07, Singapore 367954. You can reach us at hello@twsbranding.com.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for your own personal or internal business purposes.
The Site and its content are provided for general information. Case studies, figures, benchmarks and frameworks reflect our own analysis of work we have done and are illustrative. They are not advice for your specific business and should not be relied on as such without your own assessment.
You must be at least 18 years old to use the Services.
Branding, creative, marketing, media management and software engagements are governed by a separate written agreement, proposal or statement of work signed between you and TWS.
Where those documents conflict with these Terms in relation to the engagement, the signed engagement documents prevail. These Terms continue to apply to your general use of the Site and the members area.
Nothing on the Site constitutes an offer capable of acceptance. Quotes, package prices and PSG-related pricing shown on the Site are indicative and subject to scoping, written confirmation and, where applicable, grant approval by the relevant Singapore agency. We are not responsible for a grant application being refused, delayed or reduced.
The Course is an online programme of written lessons, visuals, worked examples and exercises built for F&B operators in Singapore. It is delivered through the members area on this Site.
We currently offer two ways to work with us on it:

Access to The Course is personal to the subscribing individual. It may not be shared, resold, sublicensed, or used by more than one person. If you need access for a team, contact us about a team arrangement.
We may add, revise, reorganise or retire lessons over time. We aim to keep the material current, but we do not warrant that any particular lesson, figure or example will remain available or unchanged for the duration of your subscription.
To access the members area you must create an account with accurate, current information. The members area uses passwordless sign-in: we email a single-use link that expires after a short period.

We may suspend an account where we reasonably believe it is being shared, accessed without authorisation, or used in breach of these Terms.
Subscription fees are stated on the Site in Singapore Dollars (SGD) and are exclusive of any applicable Goods and Services Tax, which will be added where chargeable.
Payments are processed by Stripe. By subscribing you also accept Stripe's terms as they apply to the transaction. We do not receive or store your full card details.
Annual subscriptions renew automatically at the then-current price on each anniversary, unless cancelled before the renewal date. By subscribing you authorise us, through Stripe, to charge your payment method on each renewal.
You may cancel at any time by emailing ernest@twsbranding.com. Cancellation stops future renewals. Your access continues until the end of the period you have already paid for, after which it ends.
We may change subscription pricing. Any change to your renewal price will be notified to you by email at least 30 days before it takes effect, giving you the opportunity to cancel before renewal.
If a renewal payment fails, we may retry it and may suspend access until payment succeeds. If payment remains outstanding after a reasonable period, we may terminate the subscription.
Because The Course is digital content delivered immediately on purchase, subscription fees are non-refundable once access has been granted, except:

All content on the Site and within The Course — including text, lessons, frameworks, methodology, diagrams, charts, images, video, software, the TWS name and marks, and the "tīng wǒ shuō" identity — is owned by TWS or licensed to us, and is protected by copyright, trade mark and other intellectual property laws.
As a subscriber, you may view course material, and download or print material where we make that available, for your own internal business use.
Ownership of work produced under a client engagement is determined by that engagement agreement. Unless expressly assigned in writing, TWS retains ownership of its underlying methods, templates, frameworks and tooling, and retains the right to describe the engagement in anonymised form for its own marketing.
If you send us suggestions or feedback about the Services, you grant us a perpetual, worldwide, royalty-free right to use it without obligation to you.

The Course, our methodology and our services provide education, frameworks and professional services — not a promise of commercial outcomes.
Case studies, benchmarks and performance figures shown on the Site or in the course reflect results observed in specific engagements under specific conditions. Your results will depend on your concept, location, pricing, team, execution, market conditions and factors outside our control.
We do not guarantee any level of revenue, covers, footfall, followers, reach, ranking, conversion, return on ad spend, or any other commercial result.
Nothing in the Services constitutes legal, financial, tax, accounting, food-safety or regulatory advice. Obtain your own professional advice before acting.
Where we manage advertising accounts on your behalf, access is granted by you and operates under the terms of your engagement agreement and our Privacy Policy.
The Services rely on third-party providers including hosting, database, authentication, payment and email delivery services, and integrate with third-party advertising and marketing platforms. The Site also links to external sites.
We are not responsible for the availability, content, accuracy, policies or practices of third-party services, and their inclusion does not imply endorsement. Your use of a third-party service is governed by that provider's own terms.
Each party will keep confidential any non-public information disclosed by the other that is marked confidential or would reasonably be understood to be confidential, and will use it only for the purpose of the relationship. This does not apply to information that is or becomes public through no breach, was already known without restriction, is independently developed, or must be disclosed by law.
Course material and our internal methodology documents are our confidential information.
We aim to keep the Services available, but we do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance, upgrades, security or reasons outside our control, and will try to give notice where reasonably practicable.
We may add, modify, suspend or discontinue any part of the Services. If we permanently discontinue The Course during a paid subscription period, we will refund the unused portion of your fee on a pro-rata basis.
To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
To the fullest extent permitted by law, TWS will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, goodwill, opportunity, anticipated savings, or data, however arising and whether or not foreseeable.
Our total aggregate liability arising out of or in connection with the Services, whether in contract, tort (including negligence), statute or otherwise, is limited to the greater of (a) the amount you paid us for the relevant Service in the twelve months preceding the event giving rise to the claim, or (b) SGD 100.
Where a claim relates to a client engagement, the liability provisions of that engagement agreement apply instead.
You agree to indemnify and hold harmless TWS, its directors, employees and contractors from any claim, liability, loss, damage, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, your infringement of a third party's rights, or the content, claims or assets you supply to us.
We may suspend or terminate your access to the Services immediately if you breach these Terms, if your payment fails and remains unresolved, if we reasonably suspect fraudulent or unlawful activity, or if we are required to do so by law.
You may stop using the Services at any time and may cancel a subscription as described in section 07.
Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law — continue to apply after termination.
We may update these Terms from time to time. The effective date at the top of this page shows when they were last revised. Where a change is material and affects an active subscription, we will notify account holders by email before it takes effect. Continued use of the Services after that date constitutes acceptance.
These Terms and any dispute arising out of or in connection with them are governed by the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore.
Before commencing proceedings, we ask that you contact us so we can attempt to resolve the matter in good faith.
